Acceptance of Terms
Welcome to RxRep. These Terms of Service ("Terms") govern your access to and use of our pharmaceutical sales management platform, including our website, mobile applications, and all related services (collectively, the "Services").
These Terms constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and RxRep. Please read them carefully.
Definitions
"Services"
Refers to RxRep's pharmaceutical sales management platform, including all software, applications, features, and related services.
"User" or "You"
Refers to any individual or entity that accesses or uses our Services.
"Organization"
Refers to the pharmaceutical company or business entity that has subscribed to RxRep.
"Content"
Refers to all data, information, text, images, and other materials uploaded, submitted, or transmitted through the Services.
Description of Services
RxRep provides a comprehensive pharmaceutical sales management platform that includes:
Territory & User Management
Tools for managing medical representatives, territories, and organizational hierarchies
Doctor & Pharmacy Tracking
Database management for healthcare professionals and retail pharmacies
Sales Analytics
Real-time reporting, dashboards, and performance tracking
Mobile Field Applications
iOS and Android apps for field representatives
User Accounts and Registration
Account Creation: To access RxRep, your Organization must create an account. You may be provided with individual user credentials by your Organization's administrator.
Account Security Responsibilities
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities under your account
- Not share your account credentials with others
- Use strong passwords and enable multi-factor authentication when available
You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.
User Obligations and Acceptable Use
When using RxRep, you agree to:
Permitted Activities
- Use the Services only for lawful business purposes
- Comply with all applicable laws and regulations
- Respect intellectual property rights
- Maintain professional and ethical conduct
- Protect sensitive and confidential information
Prohibited Activities
- Violate any laws, regulations, or third-party rights
- Upload malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble the software
- Use the Services to spam, harass, or harm others
- Scrape, crawl, or use automated tools without permission
- Resell or redistribute the Services without authorization
- Remove or modify any proprietary notices or labels
Your Data and Content
Content Ownership
You retain all ownership rights to the data and content you upload to RxRep. By using our Services, you grant us a limited license to:
- Store, process, and display your content to provide the Services
- Create backups and ensure data redundancy
- Use aggregated, anonymized data for analytics and improvements
Your Responsibilities
You are responsible for:
- Ensuring you have the right to upload and use all content
- The accuracy, quality, and legality of your data
- Maintaining appropriate backups of your data
- Complying with data protection and privacy laws
Intellectual Property Rights
RxRep and all associated intellectual property rights are owned by us or our licensors. This includes:
These Terms do not grant you any ownership rights to the Services. You receive only a limited, non-exclusive, non-transferable license to use RxRep as permitted by these Terms.
Payment and Fees
Subscription Fees: Access to RxRep requires a paid subscription. Fees are based on your selected plan, number of users, features, and usage.
Billing Cycle
You will be billed on a recurring basis (monthly or annually) as per your subscription agreement.
Auto-Renewal
Subscriptions automatically renew unless cancelled before the renewal date.
Fee Changes
We may change fees with 30 days' notice. Continued use after changes constitutes acceptance.
Non-Payment
Failure to pay may result in suspension or termination of your account.
Termination
Termination by You
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will be effective at the end of your current billing period.
Termination by Us
We may suspend or terminate your access immediately if you:
- Violate these Terms or our policies
- Fail to pay fees when due
- Engage in fraudulent or illegal activities
- Pose a security risk to our Services or other users
Warranties and Disclaimers
RxRep is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Guarantees of uninterrupted or error-free service
- Warranties regarding accuracy or reliability of information
- Guarantees that the Services will meet all your requirements
While we strive to provide high-quality services, we do not guarantee that RxRep will be error-free, secure, or always available. You use the Services at your own risk.
Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not responsible for losses resulting from your failure to secure your account
- We are not liable for third-party services or content
Indemnification
You agree to indemnify, defend, and hold harmless RxRep and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Your Content or data uploaded to the Services
Changes to These Terms
We may modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date at the top
- We will notify you via email or in-app notification for material changes
- Changes will be effective 30 days after notification
- Continued use after changes become effective indicates your acceptance
If you do not agree to the modified Terms, you must stop using the Services and cancel your subscription.
Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of RxRep shall be resolved through:
- Good faith negotiations between the parties
- Mediation, if negotiations fail
- Binding arbitration or courts in Lahore, Pakistan
